These Terms of Service ("Terms") govern your purchase, installation, and use of the IPBases software ("Software") provided by IPBases ("we", "us", "our"). By installing or using the Software, you ("Customer", "you") agree to these Terms.
Subject to payment of the applicable license fee, we grant you a perpetual, non-exclusive, non-transferable license to install and use the Software for your firm's internal business purposes, subject to the seat limit of your purchased tier (Professional or Enterprise).
The license is bound to your firm and to the domain(s) on which you install the Software. If your firm is acquired or merged, please contact us to update the license accordingly.

Each tier includes the update period stated on the pricing page at time of purchase (Professional: 2 years; Enterprise: lifetime). After the included period, you may continue using your installed version indefinitely, or renew updates at the then-current renewal rate.
Critical security patches will be backported to supported releases for 18 months after their end-of-life date.
The Software is self-hosted on infrastructure you control. We do not access, store, or process your data. You are solely responsible for backups, security configuration, and compliance with applicable data protection laws.
The Software is provided "as is" without warranty of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We make no warranty that the Software will meet your specific requirements or be error-free.
To the maximum extent permitted by law, our total liability arising out of or related to these Terms shall not exceed the license fee paid in the twelve months preceding the claim. We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption.
We offer a 30-day money-back guarantee from the date of license issuance. After 30 days, all sales are final. To request a refund, email ip@ipbases.com within the refund window with your license reference.
We may revoke your license if you materially breach these Terms and fail to cure within 30 days of written notice. Upon revocation, you must cease using the Software and destroy all copies. Sections 3, 6, 7, and 10 survive termination.
These Terms are governed by the laws of [your jurisdiction], without regard to conflict of laws principles. Any dispute arising under these Terms shall be resolved in the courts of [your jurisdiction].
We may update these Terms from time to time. The current version always lives at ipbases.com/terms with a "Last updated" date. Material changes will be communicated to active customers via email at least 30 days before they take effect.
